Mid-Level Associate - (Startup Law)

Seed & Scale is a Dubai-based law firm serving technology startups and scaleups in the UAE, both directly and through the accelerators and venture funds that back them. Our clients operate in proptech, fintech, e-commerce, SaaS, and Web3. Most have no in-house legal team; we become that team through Fractional General Counsel monthly retainers. We also advise on fundraising and one-off complex mandates. About the Role: This is a full-time remote Legal Associate role at Seed & Scale . We are looking for an experienced lawyer with a startup/venture mindset — someone who enjoys working directly with founders, can translate legal complexity into actionable advice, and can run matters with limited supervision. You will handle a range of legal tasks that reflect a fast-moving, fast-changing startup environment. You will: • Work directly with a partner/general counsel, • Advise founders on day-to-day legal issues, • Draft and execute startup-related documents (SAFEs, convertible notes, share subscription agreements, founders’ agreements, ESOPs etc.), • Advise founders on company structuring, corporate governance, and regulatory compliance (financial services/virtual assets), • Draft fundraising documentation and commercial contracts, • Conduct due diligence for accelerator programs, • Communicate with partnered Corporate Service Providers, notaries and trustees, • Participate in workshops and legal clinics for startup communities and accelerators. Requirements: • Master's degree in Law from a recognized institution, • Familiar with UAE laws and regulations, including DIFC and ADGM, • 3-5 years of overall experience in corporate/commercial law (with a minimum of 1 year in venture capital or startup law), • Experience with fintech / regulated businesses (payments, lending, virtual assets) would be a strong plus, • Fluent in English (Arabic is a plus).
