Capital Markets Associate (Legal)

Our client's Capital Markets group is seeking an outstanding lateral associate who has capital markets and securities experience, including public offerings such as at-the-market offerings (ATMs), registered direct offerings, equity lines of credit, and initial public offerings (IPOs). The ideal candidate will have experience with SEC registration statements (Forms S-1 and S-3), prospectus supplements, underwriting agreements, and placement agent agreements. Corporate attorneys at this firm also act as outside general counsel to clients advising on corporate governance, legal compliance, including SEC regulatory and stock exchange requirements, and risk management. The firm's clients are sophisticated and global and seek the firm’s counsel for high stakes transactions, strategic decisions, solutions and planning. The associate will play a key role in all phases of securities transactions, including directly advising clients and conducting due diligence and negotiations, preparing and reviewing offering documents, coordinating with underwriters and placement agents, advising on Securities Act and Exchange Act compliance, and assisting with stock exchange listing applications and ongoing reporting obligations. Abilities and Skills needed: 2-8 years experience (3-4) preferred years of experience in a AMLAW top 200 law firm environment High level of academic achievement Strong writing skills Experience with SEC registration statements, prospectus supplements, and other offering documents Familiarity with the Securities Act of 1933 and the Securities Exchange Act of 1934 Experience drafting or reviewing underwriting agreements, placement agent agreements, or similar transaction documents Understanding of due diligence processes for public offerings Confident, mature presence and speaking ability Ability to develop lasting connections with colleagues and clients Admission to the New York bar is required
